1. Agreement

These Terms and Conditions ("Terms") govern your access to and use of the Kwaver platform and related services (the "Service") provided by Kwaver Holdings Ltd. ("Kwaver", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Kwaver is a workforce management platform that helps organizations manage attendance, scheduling, vacation and shift bidding, polls, and related team operations. Features available to you depend on your organization's subscription and configuration.

3. Accounts and access

Access to the Service is provided through accounts created for your organization. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify your organization administrator or contact us promptly if you suspect unauthorized access.

4. Acceptable use

You agree not to:

  • Use the Service in violation of applicable laws or your organization's policies
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload malicious code or use the Service to send spam or abusive content
  • Reverse engineer, copy, or resell the Service except as expressly permitted

5. Customer data and privacy

Your organization controls the data entered into the Service. We process that data to provide and improve the Service as described in our Privacy Policy. You are responsible for ensuring you have appropriate rights and notices in place for any personal information you submit.

6. Subscriptions and fees

Commercial use of the Service is subject to a separate agreement or order between Kwaver and your organization. Fees, billing terms, and renewal conditions are set out in that agreement unless otherwise stated in writing by Kwaver.

7. Intellectual property

Kwaver and its licensors retain all rights, title, and interest in the Service, including software, branding, and documentation. These Terms do not grant you any ownership rights in the Service.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Kwaver disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or meet every operational requirement of your organization.

9. Limitation of liability

To the fullest extent permitted by law, Kwaver will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising under these Terms will not exceed the amounts paid by your organization to Kwaver for the Service in the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars if no fees were paid.

10. Suspension and termination

We may suspend or terminate access to the Service if you violate these Terms, if required by law, or if your organization's subscription ends. Your organization may also disable accounts at any time. Provisions that by their nature should survive termination will continue to apply.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
